our deal

As entrepreneurs that are founder-focused in our engagements, we believe that our compensation for support should be: simple, transparent, success-based, and non-dilutive.

We don’t take equity. We don’t have voting rights. We don’t offer complicated term sheets with terms that are hard to understand.

Instead, we do Royalty Engagements that are summarized as follows:

  • Royalty on Gross Revenue paid Quarterly

  • 3-10% based on level of engagement and stage of company

  • Terminate at any time without penalty

  • No voting rights

  • Capped residual entitlement after termination

faq

Why is the Royalty based on Gross Revenue instead of Net Profit?

We never want to be in a position of dispute with the Companies we work with. We are relational and founder-focused, so it is important to us that the terms of our deal be black and white, without room for disagreement. Gross Revenue (top-line) is easy to calculate, and can’t be disputed. Net Profit can be calculated in different ways, and is ultimately in the control of management.

What does “capped residual entitlement” mean?

It means that our royalty entitlement continues for a period of time after our engagement ends. The residual entitlement reflects the fact that our business advice and strategies have longer term impact that should be captured.

Does xbridge take a Board seat?

Only if you want us to. We don’t ask for one, and wouldn’t consider that a part of our standard engagement. But if you’re interested in one of us being on your Board, we’d be happy to discuss how that type of engagement might make sense.

What is the most important qualification for a client to work with xbridge?

Founder fit. We are very selective in who we work with. There’s got to be a strong fit between us and the founder(s).
